Terms of Service
These Terms of Service ("Terms") govern your use of Trade Connect at https://trade-connect.app (the "Service"), operated by Trade Connect LLC ("Trade Connect," "we," "us"). By creating an account or using the Service you agree to these Terms. If you don't agree, don't use the Service.
1. What Trade Connect is — and isn't
Trade Connect is an online marketplace that helps general contractors ("GCs") find and contact subcontractors ("subs"). We provide listings, a job board, job-matching alerts, reviews, and messaging tools. A material supplier directory is coming soon.
- We are not a party to any agreement between members. Any bid, contract, payment, warranty, or dispute is solely between the GC and the sub.
- We are not a contractor, employer, staffing agency, or broker, and we don't perform, supervise, or guarantee any work.
- We do not independently verify licenses, insurance, bonding, qualifications, identity, or references. Information on profiles is provided by members or taken from public business information, and profiles label license and insurance details as self-reported. You are responsible for confirming licensing (for example with SC LLR), insurance certificates, and anything else you rely on before hiring or working with anyone.
- Some profiles show a "Credentials reviewed" badge. It means a Trade Connect administrator looked at license and/or insurance documents the sub provided, at a single point in time. It is not a guarantee, certification, or endorsement: it does not mean a license or policy is valid, current, or sufficient for your project, that coverage will respond to any claim, or that the sub is qualified or will perform. Licenses and policies can lapse or change after review. Always get your own current certificates.
- Directory listings marked "unclaimed" were compiled from publicly available business information and are not endorsed by, or affiliated with, the listed business unless and until it claims the listing. If you own a listed business and want a listing corrected or removed, email us at the address in Section 15 and we'll handle it.
2. Accounts
- You must be at least 18 and able to form a binding contract, and you must use the Service for business purposes.
- Give accurate information and keep it current. You are responsible for everything that happens under your account and for keeping your password secure.
- One person or business per account. Don't impersonate anyone or misrepresent your company, license, or insurance.
- Members are responsible for their own compliance with the law, including contractor licensing, insurance, permits, safety, lien and payment laws, and taxes. Subs are independent businesses, not employees or agents of Trade Connect or of any GC.
3. Your content
You own what you post (profiles, job posts, photos, messages, reviews). You give us a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and distribute it as needed to operate and promote the Service. You confirm you have the rights to what you post and that it is accurate and lawful.
4. Reviews and ratings
- Reviews can be left only by a GC who had an accepted or completed job request with the sub through Trade Connect. A review must reflect your own genuine experience and be accurate and lawful.
- Reviews are the opinions of the member who wrote them, not of Trade Connect. We don't edit them for content, but we may remove reviews that break these Terms, appear fake or retaliatory, or contain private information.
- Subs can't pay for, or be paid for, removing or changing a review, and you may not offer or accept money, discounts, or other incentives in exchange for a review.
5. Acceptable use
You agree not to:
- post false, misleading, defamatory, discriminatory, or illegal content, or fake reviews;
- spam members, scrape or harvest data, or use the Service to sell leads or build a competing directory;
- use bots or automated tools, bypass security or rate limits, or interfere with the Service;
- upload malware, or anything that infringes someone else's rights;
- solicit members to take transactions off-platform for the purpose of evading fees (once fees exist);
- use the Service in violation of any law or to harass, threaten, or discriminate against anyone.
We may remove content or suspend or close accounts that violate these Terms or put members at risk.
6. Fees, ranking, and sponsored placement
Trade Connect is currently free. Paid plans shown on our pricing page are not being charged yet, and features listed for them may change before billing starts. Before we begin charging for any feature we'll post the price and give you notice, and you won't be charged unless you choose a paid plan.
Search results on Find Trades are ordered by factors such as fit with the searcher's filters, availability, how recently a sub updated their availability or was active, reviewed credentials, profile completeness, and reviews. Paid placements are shown in a separate row labeled "Sponsored" and do not change organic ranking. We may change how results are ordered at any time, and we don't guarantee any particular position, number of views, leads, or jobs.
Job alerts are based on the trade, service area, and project details a sub lists. We don't promise that a sub will be notified of, or win, any job, and a GC isn't obligated to respond to or hire anyone.
7. Ending your account
You can delete your account at any time from Account Settings; deletion is permanent and also removes job requests, messages, and reviews tied to your account, including copies the other member could see. We may suspend or terminate access for violations of these Terms or if required by law. Sections that by their nature should survive (for example 1, 3, 4, 9, 10, 11, 12) survive termination.
8. Communications
By creating an account you agree that we may email you about your account, requests and messages, jobs that match your profile (subs), and important changes to the Service. You can't opt out of essential account and security notices. Marketing emails, if we ever send them, will include an unsubscribe link.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DON'T WARRANT THE ACCURACY OF ANY LISTING OR THE QUALITY, SAFETY, LEGALITY, OR TIMELINESS OF ANY WORK PERFORMED BY ANY MEMBER.
10. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, TRADE CONNECT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, OR FOR ANY DAMAGES ARISING FROM WORK, PAYMENTS, OR DISPUTES BETWEEN MEMBERS. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM.
11. Indemnity
You agree to defend and indemnify Trade Connect against claims, losses, and expenses (including reasonable attorneys' fees) arising from your content, your use of the Service, your work or dealings with other members, or your violation of these Terms or the law.
12. Governing law and disputes
These Terms are governed by the laws of the State of South Carolina, without regard to conflict-of-law rules. Before filing a claim, please contact us so we can try to resolve it informally. Any dispute that can't be resolved will be brought in the state or federal courts located in South Carolina, and you consent to their jurisdiction.
13. Intellectual property and notices
The Trade Connect name, logo, site design, and software belong to us; these Terms don't give you any right to use them. If you believe content on the Service infringes your copyright or other rights, email us with the page address, what is infringing, and your contact details, and we'll review and remove it where appropriate. The Service may link to or rely on third-party sites and services we don't control and aren't responsible for. If any part of these Terms is found unenforceable, the rest remains in effect, and these Terms are the entire agreement between you and us about the Service.
14. Changes
We may update these Terms. If a change is material we'll notify you by email or on the site before it takes effect. Continuing to use the Service after that means you accept the updated Terms.
